231 Model

Trueblue S.p.A. (hereinafter, the “Company”) has adopted and approved an Organisation, Management and Control Model pursuant to Italian Legislative Decree No. 231 of 8 June 2001 (hereinafter, the “231 Model”), aimed at preventing the commission of the offences contemplated by the applicable legislation and at strengthening the internal control system, as well as the principles of fairness, transparency and legality in the conduct of corporate activities.

At the same time, the Company has approved its Code of Ethics, which sets out the values and principles governing the Company’s activities and its relationships with all parties involved in the pursuit of its corporate objectives (“stakeholders”). The Code, adopted by resolution of the Board of Directors, represents a key instrument for ensuring the proper conduct of business management in line with the vision and mission pursued by the Company.

In accordance with the provisions of Legislative Decree No. 231/2001, a Supervisory Body (Organismo di Vigilanza) has also been appointed, vested with autonomous powers of initiative and control, and entrusted with the task of supervising the operation, effective implementation and updating of the 231 Model.

The Company has also implemented a whistleblowing reporting system in compliance with Italian Legislative Decree No. 24 of 10 March 2023, implementing Directive (EU) 2019/1937 on the protection of persons who report breaches of Union law, aimed at encouraging the reporting of unlawful conduct or risk situations and ensuring appropriate safeguards for the individuals involved.
